End User Licence Agreement

1. Introduction

This End User Licence Agreement ("EULA") is a legal agreement between you ("you" or "End User") and Unisphere HQ Limited ("we", "us", or "UnisphereHQ") for the UnisphereHQ mobile application, UnisphereHQ — The Ambition Network (the "Licensed Application").

By downloading, installing, or using the Licensed Application, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not download, install, or use the Licensed Application.

You must be at least 18 years old to use the Licensed Application. By accepting this EULA, you represent and warrant that you are 18 years of age or older.

This EULA supplements our Terms of Service and Privacy Policy, which are incorporated by reference. In the event of a conflict between this EULA and the Terms of Service, the Terms of Service shall prevail to the extent of the conflict.

2. Acknowledgement

You and Unisphere HQ Limited acknowledge that this EULA is concluded between you and Unisphere HQ Limited only, and not with Apple Inc. ("Apple") or Google LLC ("Google"). Unisphere HQ Limited, not Apple or Google, is solely responsible for the Licensed Application and its content.

This EULA may not provide usage rules for the Licensed Application that conflict with the Apple Media Services Terms of Service or the Google Play Terms of Service as of the date you agree to this EULA.

3. Scope of Licence

Unisphere HQ Limited grants you a limited, non-exclusive, non-transferable, revocable licence to use the Licensed Application on any device that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms of Service (for iOS) or the Google Play Terms of Service (for Android).

You may not distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time. You may not rent, lease, lend, sell, redistribute, or sublicense the Licensed Application.

You may not copy, reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application, any updates, or any part thereof, except as and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

4. Licence Restrictions

In addition to the restrictions set out above, you agree not to:

Use the Licensed Application for any unlawful or illegal purpose.
Use automated systems, bots, scrapers, or similar tools to access, interact with, or extract data from the Licensed Application.
Interfere with or disrupt the Licensed Application's infrastructure, servers, or networks.
Attempt to gain unauthorised access to any systems, accounts, or data connected to the Licensed Application.
Remove, alter, or obscure any proprietary notices, labels, or markings on or in the Licensed Application.
Use the Licensed Application, or any information obtained from it, to develop a competing product or service.

5. Content & User Conduct

The Licensed Application allows you to create, upload, and share content including posts, comments, stories, reels, events, communities, messages, and media (collectively, "User Content").

You retain ownership of your User Content. You are solely responsible for all content you create, upload, or share through the Licensed Application.

By posting User Content, you grant Unisphere HQ Limited a licence to host, display, reproduce, and distribute your content in connection with operating and providing the Licensed Application, as further described in our Terms of Service.

Unisphere HQ Limited may moderate, remove, or restrict access to any User Content at its sole discretion, including content that violates this EULA, our Terms of Service, or applicable law. User-generated content does not represent the views or opinions of Unisphere HQ Limited.

6. AI-Powered Features

The Licensed Application includes AI-powered features branded as "UVA" that provide personalised recommendations, personality insights, and conversational assistance.

AI outputs are generated automatically and may contain inaccuracies. You should not rely on AI-generated content as professional, legal, medical, or financial advice.

AI features process your data as described in our Privacy Policy. You may manage your AI feature preferences at any time through Settings within the Licensed Application.

7. Subscriptions & In-App Purchases

The Licensed Application offers subscription plans and in-app purchases that unlock additional features and capabilities.

Payment is processed through Apple's In-App Purchase system, Google Play Billing, or Stripe, depending on your platform and purchase method. Subscription management and cancellation for purchases made through Apple must be handled through your Apple ID account settings.

Auto-renewal can be turned off in your device settings at least 24 hours before the end of the current billing period. The subscription fee for the next period is charged within 24 hours prior to the end of the current period.

Refunds for purchases made through Apple's In-App Purchase system must be requested directly through Apple.

8. Maintenance and Support

Unisphere HQ Limited is solely responsible for providing any maintenance and support services with respect to the Licensed Application, as specified in this EULA or as required under applicable law.

You and Unisphere HQ Limited acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.

9. Warranty

Unisphere HQ Limited warrants that the Licensed Application will perform substantially in accordance with its published documentation under normal use and conditions.

In the event of any failure of the Licensed Application to conform to this warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Licensed Application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application.

Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be the sole responsibility of Unisphere HQ Limited.

Nothing in this section excludes or limits any statutory rights you may have under UK consumer law, including the Consumer Rights Act 2015.

10. Product Claims

You and Unisphere HQ Limited acknowledge that Unisphere HQ Limited, not Apple, is responsible for addressing any claims by you or any third party relating to the Licensed Application or your possession and/or use of the Licensed Application, including but not limited to:

Product liability claims.
Any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement.
Claims arising under consumer protection, privacy, or similar legislation, including claims under the UK Consumer Rights Act 2015 and UK GDPR.

11. Intellectual Property Rights

You and Unisphere HQ Limited acknowledge that, in the event of any third-party claim that the Licensed Application or your possession and use of the Licensed Application infringes a third party's intellectual property rights, Unisphere HQ Limited, not Apple, will be solely responsible for the investigation, defence, settlement, and discharge of any such intellectual property infringement claim.

12. Legal Compliance

You represent and warrant that:

(a) You are not located in a country that is subject to a UK or US Government embargo, or that has been designated by the UK or US Government as a "terrorist supporting" country; and

(b) You are not listed on any UK or US Government list of prohibited or restricted parties.

13. Termination

This EULA is effective until terminated by you or Unisphere HQ Limited. Your rights under this EULA will terminate automatically without notice from Unisphere HQ Limited if you fail to comply with any term of this EULA.

Upon termination, you must cease all use of the Licensed Application and delete all copies of the Licensed Application from your devices.

Unisphere HQ Limited may also terminate or suspend your access to the Licensed Application and your account at any time, in accordance with our Terms of Service.

Sections of this EULA that by their nature should survive termination will survive, including but not limited to intellectual property provisions, warranty disclaimers, limitation of liability, and governing law.

14. Limitation of Liability

To the maximum extent permitted by applicable law under the laws of England and Wales, Unisphere HQ Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Licensed Application.

Unisphere HQ Limited's total aggregate liability arising out of or in connection with this EULA shall not exceed the greater of: (a) the amount you actually paid for the Licensed Application in the 12 months preceding the claim, or (b) fifty pounds sterling (£50).

Nothing in this EULA excludes or limits liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited under English law.

15. Third-Party Terms of Agreement

You must comply with applicable third-party terms of agreement when using the Licensed Application. This includes the terms of service for integrated third-party services, such as:

Ably — real-time messaging infrastructure.
Stripe — payment processing and identity verification.
Jitsi Meet — video conferencing.
RevenueCat — subscription and entitlement management.

Third-party services are governed by their respective terms of service and privacy policies. Unisphere HQ Limited is not responsible for the practices or content of any third-party services.

16. Third-Party Beneficiary

You and Unisphere HQ Limited acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA when the Licensed Application is obtained through the Apple App Store.

Upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.

When the Licensed Application is obtained through the Google Play Store, Google LLC and its subsidiaries are third-party beneficiaries of this EULA and may enforce it accordingly.

17. Governing Law

This EULA shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law provisions.

Any disputes arising out of or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer, you may also benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in this EULA affects your rights as a consumer to rely on such mandatory provisions of local law.

19. Changes to This EULA

We may update this EULA from time to time to reflect changes in our practices, the Licensed Application, or applicable law. We will notify you of any material changes by updating the "Last updated" date at the top of this document.

Your continued use of the Licensed Application following the posting of changes constitutes your acceptance of the updated EULA. If you do not agree to the updated terms, you should discontinue use of the Licensed Application.
