Terms of Service

1. Introduction
Welcome to UnisphereHQ — The Ambition Network. These Terms of Service ('Terms') govern your access to and use of the UnisphereHQ mobile application, website, and related services (collectively, the 'Service').
By creating an account or using UnisphereHQ, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
UnisphereHQ is operated by Unisphere HQ Limited, a company registered in England and Wales (No. 16068538). References to 'we', 'us', or 'our' mean Unisphere HQ Limited. References to 'you' or 'your' mean the user of the Service.
2. Eligibility
You must be at least 18 years old to use UnisphereHQ. By creating an account, you represent and warrant that you are 18 years of age or older. UnisphereHQ is not intended for anyone under the age of 18.
You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
3. Your Account
You can create an account using email and password, Apple Sign-In, or Google Sign-In. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
UnisphereHQ offers optional biometric authentication (Face ID and Touch ID) for convenient access. Biometric data is stored locally on your device and is never transmitted to our servers.
You must not share your account with others or allow anyone else to access it. If you suspect unauthorised access to your account, notify us immediately.
You may delete your account at any time via Settings > Security in the mobile app or Settings > Privacy on the web. Account deletion enters a 30-day grace period during which you can restore your account by signing back in. After 30 days, your data is scheduled for permanent deletion, including associated subscriptions, messaging data, and stored media. Full removal from all systems, including backups, may take up to an additional 90 days.
We reserve the right to suspend or terminate any account that violates these Terms, at our sole discretion and without prior notice where appropriate.
4. Your Content
You retain full ownership of the content you create and share on UnisphereHQ, including posts, comments, stories, reels, event listings, community content, messages, voice messages, and polls.
By posting content on UnisphereHQ, you grant us a worldwide, non-exclusive, royalty-free, transferable licence to host, store, display, reproduce, distribute, and promote your content in connection with operating and improving the Service. This licence exists only for as long as your content remains on the platform.
You must not post content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or that infringes the intellectual property rights of any third party.
We reserve the right to remove or restrict access to any content that violates these Terms or our community guidelines, without prior notice.
Stories you post expire automatically after 24 hours. When you delete content, it is no longer visible to other users. It may take up to 30 days for that content to be removed from our active systems, and up to an additional 90 days for removal from backups and disaster recovery systems. 5. Communities & Events
UnisphereHQ allows users to create and join communities, which may be public, private, or paid. Community creators are responsible for setting and enforcing their own community guidelines, provided those guidelines do not conflict with these Terms.
Event hosts are responsible for the accuracy and completeness of all event information they publish, including dates, locations, and descriptions.
Paid communities and paid events are subject to the Monetisation & Payments section of these Terms. Creators who charge for access must comply with all applicable laws and our monetisation policies.
We reserve the right to remove any community or event that violates these Terms, or to take action against the accounts responsible.
6. AI Features
UnisphereHQ includes AI-powered features, collectively referred to as 'UVA' (UnisphereHQ Virtual Assistant). These features include personalised recommendations, personality insights, content suggestions, smart matching, and conversational AI.
AI outputs are generated by automated systems and may not always be accurate or complete. You should not rely solely on AI-generated outputs for important decisions.
Your interactions with AI features are used to personalise and improve your experience on UnisphereHQ. AI features are powered in part by third-party services, such as OpenAI via OpenRouter, to process your queries and generate responses.
Your content is sent to third-party AI providers solely to process your requests and generate responses. We use API services from these providers, which under their standard terms are not permitted to use API inputs for model training. However, we cannot guarantee the internal practices of third-party providers and encourage you to review their respective privacy policies. For more information about how we handle your data, please refer to our Privacy Policy.
7. Monetisation & Payments
UnisphereHQ offers subscription plans with varying features and quotas. Subscriptions can be purchased through the Apple App Store (via In-App Purchase), Google Play Store, or directly through Stripe.
Pricing, included features, and usage quotas vary by subscription tier. We reserve the right to change pricing and features with reasonable notice.
In-app purchases made through Apple or Google are governed by their respective terms and conditions. Refunds for purchases made through the App Store or Google Play must be requested directly from Apple or Google.
For subscriptions purchased directly via Stripe, our refund policy applies. Please contact support@unispherehq.co.uk for refund requests.
We use Stripe Connect to facilitate payouts to creators who earn revenue from paid communities and events. Creators are solely responsible for reporting and paying any applicable taxes on their earnings.
We use RevenueCat to manage and synchronise subscription state across platforms, ensuring a consistent experience regardless of how you purchased your subscription.
8. Identity Verification
UnisphereHQ offers optional identity verification to help build trust within the community. Verification is powered by Stripe Identity.
The verification process requires you to submit a valid government-issued photo ID and a selfie. This information is processed by Stripe in accordance with their privacy policy.
We store only your verification status (verified or unverified) on our systems. We do not store copies of your identity documents or selfie images. Once verified, your profile may display a verification badge.
9. Video Conferencing
Video conferencing on UnisphereHQ is powered by Jitsi Meet. Event hosts and community leaders can create video rooms for live interactions.
Hosts have the ability to manage participants, enable or disable recording, and moderate conversations within their rooms.
Recordings and live transcriptions may be generated during conferences when enabled by the host. Transcription data is retained for up to 90 days and then automatically deleted.
You must not record, screenshot, or share conference content without the explicit consent of all participants.
10. Messaging
UnisphereHQ's messaging features are powered by Ably. Messages, including text, media, and voice messages, are transmitted via Ably's real-time infrastructure and stored by UnisphereHQ to enable delivery and message history.
We do not guarantee the delivery, permanence, or real-time availability of messages. Service interruptions may occasionally affect messaging functionality.
You must not use messaging for spam, harassment, distribution of malware, or any illegal purpose. Violations may result in immediate account suspension.
11. Intellectual Property
UnisphereHQ and its original content, features, and functionality — including but not limited to the user interface, design, graphics, code, and documentation — are owned by Unisphere HQ Limited and are protected by copyright, trademark, and other intellectual property laws.
Our name, logo, and service marks may not be used in connection with any product or service without the prior written consent of Unisphere HQ Limited.
All third-party trademarks, logos, and brand names appearing on UnisphereHQ belong to their respective owners and are used for identification purposes only.
12. Prohibited Conduct
When using UnisphereHQ, you agree not to engage in any of the following:
- Impersonating any person, entity, or falsely representing your affiliation with any person or entity.
- Harassing, bullying, intimidating, or threatening other users.
- Sending unsolicited messages, spam, or chain letters.
- Distributing viruses, malware, or any other harmful software.
- Reverse engineering, decompiling, or attempting to extract the source code of the Service.
- Circumventing, disabling, or otherwise interfering with security-related features.
- Using automated tools, bots, or scrapers to access or collect data from the Service.
- Creating multiple accounts for deceptive, abusive, or fraudulent purposes.
- Violating the privacy of other users, including sharing their personal information without consent.
- Promoting violence, hatred, or discrimination against any individual or group.
- Distributing illegal content or facilitating illegal activities.
- Interfering with or disrupting the integrity or performance of the Service.
We may take action against any account engaging in prohibited conduct, including issuing warnings, suspending access, or permanently banning the account.
13. Content Moderation & Reporting
We actively moderate content on UnisphereHQ to maintain the safety and integrity of the platform. This includes both automated systems and human review.
Users can report content, communities, and other users that they believe violate these Terms or our community guidelines. Reports are reviewed in accordance with our processes, and appropriate action is taken where a violation is identified.
Actions we may take include, but are not limited to: issuing warnings, temporarily muting accounts, suspending accounts, or permanently banning users from the platform. These decisions are made at our discretion.
We design our safety practices to align with the UK Online Safety Act 2023 and maintain appropriate measures to protect users from harmful content.
14. Privacy
Your privacy matters to us. Our Privacy Policy explains how we collect, use, store, and protect your personal information. The Privacy Policy forms an integral part of these Terms.
By using UnisphereHQ, you acknowledge that you have read and understood our Privacy Policy and consent to the practices described therein.
15. Disclaimer of Warranties
The Service is provided on an 'as is' and 'as available' basis, without warranties of any kind, whether express, implied, or statutory.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not guarantee the accuracy, completeness, or reliability of any content available through the Service, including AI-generated content.
We are not responsible for the content, products, or services offered by third parties, even where accessed through or integrated with UnisphereHQ.
16. Limitation of Liability
To the maximum extent permitted by the laws of England and Wales, Unisphere HQ Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service.
Our total aggregate liability to you for any claims arising from or related to the Service is limited to the greater of: (a) the total amount you have paid to Unisphere HQ Limited in the 12 months immediately preceding the event giving rise to the claim, or (b) fifty pounds sterling (£50).
Nothing in these Terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited under English law.
17. General Provisions
Entire Agreement. These Terms, together with our Privacy Policy, EULA, Community Guidelines, Cookie & Tracking Policy, and Refund Policy, constitute the entire agreement between you and Unisphere HQ Limited regarding the Service and supersede all prior agreements and understandings.
Waiver and Severability. If we do not immediately enforce any part of these Terms, that does not mean we are giving up any of our rights — we can still enforce them later. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
Assignment. We may assign or transfer our rights and obligations under these Terms to any affiliate, subsidiary, or successor in interest of any business associated with the Service. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
Force Majeure. We are not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, power outages, cyberattacks, pandemics, or industrial action.
Survival. Any provisions of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property rights, limitation of liability, disclaimer of warranties, and dispute resolution.
18. Changes to These Terms
We may update these Terms from time to time, for example due to changes in our services, for legal or regulatory reasons, for security or safety reasons, or to better protect our users. When we make material changes, we will give you reasonable advance notice through the app, by email, or by other reasonable means before the changes take effect.
Your continued use of UnisphereHQ after revised Terms become effective constitutes your acceptance of those changes. If you do not agree with the updated Terms, you should stop using the Service and close your account.
19. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer, you may also benefit from any mandatory provisions of the law of the country in which you reside. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law.
